Terms of Service

By accessing or using V.H. Green Directory, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service. If you use the service for a business or organization, you represent that you have authority to bind it to these Terms.

You must be at least 18 years old and legally capable of entering a binding agreement to create an account. You must provide accurate information, keep your sign-in credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account.

V.H. Green Directory helps users discover and support Black-owned businesses. Public browsing may be available without an account. Account features may include saved businesses, community reviews, community verification, notifications, and tools for submitting or managing business information.

Directory information may come from businesses, community members, public sources, data providers, and our review team. A “verified” label reflects our process at a particular time; it is not a guarantee, certification, endorsement, or promise about ownership, quality, safety, legality, availability, or any transaction.

When you submit, claim, verify, or edit a business listing, you represent that:

• the information is accurate, current, and not misleading;
• you have the authority and rights needed to provide the content;
• any ownership statement or attestation is truthful and can be supported;
• the content does not violate privacy, intellectual-property, publicity, or other rights; and
• your submission complies with law and these Terms.

We may investigate, edit, reject, merge, suspend, or remove listings and may request additional evidence. Review decisions are made at our discretion to protect the directory’s accuracy and community purpose.

Eligible signed-in users may publish one review per business using a star rating, written description, and optional photos. Business owners may not review listings they own. Reviews appear publicly with your first name and last initial and cannot be edited after publication.

You may delete your review and submit a replacement. Deleting your account also removes your reviews and review photos. We may remove or restrict review content that violates these Terms, applicable law, or the integrity of the directory.

You retain ownership of content you lawfully submit. You grant V.H. Green Directory a worldwide, nonexclusive, royalty-free, sublicensable license to host, store, reproduce, adapt for formatting and accessibility, display, distribute, and use that content to operate, promote, secure, and improve the directory.

When you delete your account, we remove your contributions, including published photos, reviews, and account-created listings. Independently sourced directory information may remain, with your contributions and account associations removed.

You may not:

• submit false ownership claims, impersonate another person, or misrepresent affiliation;
• harass, threaten, discriminate against, exploit, or endanger others;
• upload unlawful, infringing, deceptive, malicious, or privacy-invasive content;
• probe, disrupt, overload, reverse engineer, or bypass security or access controls;
• scrape or copy the directory at scale without written permission;
• use automated systems to manipulate rankings, verification, engagement, or availability; or
• use the service in violation of law or the rights of others.

The service may contain maps, links, contact actions, offers, or information supplied by third parties. We do not control third-party services or businesses and are not responsible for their content, privacy practices, products, services, transactions, or conduct. Your dealings with a listed business are solely between you and that business.

The service, excluding user content, is owned by or licensed to V.H. Green Directory and is protected by intellectual-property laws. These Terms permit personal, lawful use of the service but do not transfer ownership of our software, branding, design, databases, or other materials.

You may stop using the service or permanently delete a consumer account, including an inactive account. We may restrict or terminate access when we reasonably believe an account violates these Terms, creates risk, threatens directory integrity, or must be restricted by law. Internal administrator accounts require manual support review before deletion.

We may add, change, suspend, or discontinue features. We aim to keep the directory available and accurate but do not promise uninterrupted operation, complete coverage, permanent storage, or error-free information. You are responsible for maintaining copies of content you need independently.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” V.H. GREEN DIRECTORY DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, V.H. GREEN DIRECTORY AND ITS CONTRIBUTORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR HARM ARISING FROM THIRD-PARTY BUSINESSES OR CONTENT. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

To the extent permitted by law, you will defend, indemnify, and hold harmless V.H. Green Directory and its representatives from claims, damages, losses, and reasonable costs arising from your content, your misuse of the service, your violation of these Terms, or your infringement of another person’s rights.

These Terms are governed by applicable laws of the United States, without regard to conflict-of-law rules. Any mandatory rights available to you under the law where you live remain unaffected. Before filing a formal claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

These Terms and the Privacy Policy are the entire agreement concerning the service. If a provision is unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of operating or transferring the service.

We may update these Terms by posting revised terms with a new “Last updated” date and providing additional notice when required. Questions may be sent to support@syndicate.ac.
